Terms of Service
Effective date: April 30, 2026These Terms of Service govern your access to and use of Buyer24. By using Buyer24, you agree to these terms. If you do not agree, do not use the service.

1. Eligibility and accounts
You must be at least 18 years old, and authorized to bind your organization, to use Buyer24.
- You are responsible for your account, connected services, and activity under your account.
- You must provide accurate information and keep access credentials secure.
- You must promptly notify us of unauthorized account access.
2. Service description
Buyer24 is an AI-augmented procurement platform. Depending on your configuration and enabled features, the Service may:
- Draft, validate, send, and track requests for quote (RFQs) on your behalf.
- Operate a unified supplier inbox that classifies, threads, and routes supplier email.
- Parse supplier replies, attachments (PDFs, Excel, catalogs), and generate normalized quote comparisons.
- Send outbound communications (RFQs, follow-ups, clarifications) on your behalf or at your direction.
- Discover, vet, and enrich supplier records using publicly available sources.
- Generate AI content (drafts, summaries, comparison reports) using third-party AI models.
- Run scheduled autonomous operations such as recurring inbox polling, follow-up cadences, and digest emails.
You are responsible for reviewing outputs, monitoring activity, and controlling permissions and integrations. Buyer24 acts as your authorized agent when performing actions on connected services.
Buyer24 is not a law firm, financial advisor, or regulated fiduciary. Do not rely on Buyer24 as your sole source for legal, tax, or regulatory decisions.
3. Connected accounts and authorization
You may connect external services to Buyer24 (for example, your email provider, ERP, or storage) via OAuth or API credentials. You authorize Buyer24 to access and use these connections to provide the Service.
- You are responsible for permissions granted to Buyer24 in those services.
- You must comply with the applicable third-party platform terms.
- We are not liable for third-party outages, suspensions, policy changes, or API limitations.
Credentials and tokens for connected services are encrypted at rest using AES-256-GCM and accessible only to authorized agents operating on behalf of your organization.
4. Acceptable use
You may not use Buyer24 to:
- Break laws, violate rights, or bypass platform restrictions.
- Send spam, run abusive automation, or perform unauthorized scraping.
- Upload malware, attempt unauthorized access, or interfere with service integrity.
- Use Buyer24 in high-risk contexts without qualified human oversight.
- Use outbound communication features in violation of CAN-SPAM, GDPR, or other applicable anti-spam laws.
- Use AI content generation to create deceptive, misleading, or harmful content, including impersonation.
- Exceed or attempt to circumvent platform rate limits or usage quotas.
5. Billing and refunds
Paid plans are billed through Stripe and may include recurring subscriptions, add-ons, and usage-based components. Pricing shown in-product controls if any summary text conflicts.
- Subscriptions renew automatically until canceled.
- Cancellations apply at the end of the active billing period unless stated otherwise at checkout.
- By saving a payment method, you authorize Buyer24 to charge it for recurring fees and any usage-based charges (such as AI credits).
- Payments are non-refundable except as required by law.
- We may update pricing or packaging prospectively.
6. Outbound communications
Buyer24 may send outbound emails in several contexts:
- Operational emails. Service communications related to authentication, billing, onboarding, and account activity.
- Procurement communications. RFQs, supplier follow-ups, and clarification messages sent on your behalf, using AI-drafted or user-edited content. You are responsible for ensuring you have a legitimate business reason to contact each recipient.
- Follow-up emails. Automated follow-up emails may be sent after an initial outbound message if no response is received. Follow-up frequency is rate-limited and configurable.
Outbound communications include opt-out mechanisms. Recipients may opt out of further communications at any time.
7. Ownership and licenses
You retain ownership of content you provide and, as between you and Buyer24, outputs generated specifically for your use. Buyer24 retains ownership of the platform, software, model orchestration, templates, prompts, and underlying technology.
- You grant Buyer24 a license to host, process, and use your content to operate and improve the service.
- You represent that you have rights to content you provide and authorize us to process it.
7A. AI-generated content
Buyer24 uses multiple AI models and services to generate content (text and structured data).
- No guarantee of accuracy. AI-generated content may contain errors, inaccuracies, or inappropriate material. You are responsible for reviewing all generated content before sending, publishing, or acting on it.
- Intellectual property. As between you and Buyer24, you own outputs generated for your use, subject to any rights retained by the underlying AI model providers in their terms of service. You will not use AI-generated content in ways that infringe third-party intellectual property rights.
- Routing. Buyer24 routes requests to underlying AI model providers (Anthropic, OpenAI, Google, and others) at its discretion. Model availability is not guaranteed.
8. Multi-user organizations
Multiple users may belong to the same organization with different roles (such as owner, admin, or member). The organization owner is responsible for managing team membership, permissions, and access controls. Buyer24 is not responsible for unauthorized access resulting from the owner's failure to manage team permissions. If an ownership dispute arises, Buyer24 may freeze the account until the dispute is resolved and may rely on the account holder of record.
9. Privacy and communications
Our data practices are described in the Privacy Policy. By using Buyer24, you consent to service communications related to authentication, account activity, billing, and operations.
10. Cookies and tracking
Buyer24 uses cookies and similar technologies for security, authentication, core functionality, diagnostics, and marketing attribution. By continuing to use Buyer24, you acknowledge this cookie usage. You can manage cookies through your browser settings, but disabling required cookies may impact core product functionality. See our Cookie Policy for details.
11. Disclaimers
Buyer24 is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness, merchantability, non-infringement, or uninterrupted availability.
- We do not guarantee that supplier outreach will receive responses, or that AI-generated content will be error-free.
- We do not guarantee uptime, delivery, or performance of third-party services connected on your behalf.
12. Limitation of liability
To the maximum extent permitted by law, Buyer24 and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or business interruption.
Our aggregate liability for claims arising out of or relating to the service will not exceed the greater of (a) amounts you paid to Buyer24 for platform fees and subscriptions in the 12 months before the event giving rise to liability, or (b) $100 USD.
Without limiting the above, Buyer24 will not be liable for:
- Actions taken by AI agents within the scope of your configured permissions and settings.
- Content generated by AI models that is rejected, removed, or flagged by third-party platforms.
- Procurement decisions made on the basis of AI-generated drafts, summaries, or comparisons.
- Outcomes of supplier communications sent on your behalf.
13. Indemnity
You agree to indemnify and hold harmless Buyer24 from claims, losses, and expenses arising from:
- Your use of the service and your content.
- Actions taken by agents within your configured permissions.
- Outbound communications sent on your behalf or at your direction.
- Your violation of these terms, applicable law, or third-party terms of service.
14. Dispute resolution; arbitration; class action waiver
Before filing a claim, both parties agree to attempt informal resolution for at least 30 days by contacting legal@buyer24.ai.
If unresolved, disputes will be resolved by binding arbitration on an individual basis, except either party may bring qualifying claims in small claims court. Class and representative actions are not permitted.
If arbitration terms are unenforceable for a specific claim, that claim will be resolved exclusively in state or federal courts located in Delaware, and Delaware law will govern to the extent permitted by law.
15. Suspension and termination
We may suspend or terminate access if we reasonably believe your use creates legal, security, abuse, or operational risk, or violates these terms.
Upon termination:
- Scheduled operations will cease.
- You may export your data during a 30-day post-termination period.
- After 30 days, account data may be permanently deleted, subject to legal retention requirements.
16. Changes to these terms
We may update these terms periodically. The "Effective date" above reflects the current version. Continued use after an update constitutes acceptance of the updated terms.
